Gateway Opportunity Fund Privacy Policy

This Privacy Policy describes the ways in which Gateway Opportunity Fund, LLC, a Delaware corporation (“Provider”) collects, uses, and discloses information about you, including personally identifiable information, in connection with your use of the website https://gatewayopfund.com (the “System”). By using the System, you consent to the use of your information as set forth in this Privacy Policy. Throughout this Privacy Policy, “you” refers to the individual or entity that is visiting the System.
- This Privacy Policy.
- Scope. Provider utilizes the System to provide certain investor management and communication services to you (the “Services”). In the course of providing the Services, Provider may collect “Personal Information,” which means information about you.
- Changes to this Privacy Policy. Provider reserves the right to update this Privacy Policy from time to time by posting a new Privacy Policy on this page, and in some cases where changes are material Provider may also contact you via electronic mail or post a notice on the homepage to let you know of such changes. You are advised to consult this Privacy Policy regularly for any changes. Your continued use of the System after such changes have been made constitutes acceptance of those changes.
- Collection of Information.
- Information that You Provide. Provider collects any information that you voluntarily provide, including when you create an account on the System or when you use the Services available through the System. Provider may also collect information that you provide by electronic mail, telephone or other means.
- Automatically Collected Information. Provider may automatically collect certain technical information from your computer or mobile device when you use the System, such as your Internet Protocol address, your web browser type and version, the name and version of your operating system, the pages you view on the System, the pages you view immediately before and after you access the System, and the search terms you enter on the System. This information allows Provider to recognize you and personalize your experience if you return to the System using the same computer or mobile device, and to improve the System and the Services.
- Information about Legal and Other Materials. In addition, Provider may collect technical information from your computer or mobile device concerning your receipt of communications, access to materials and approval or execution of contracts, consents or other statements or agreements by means of the System, including the System’s Terms of Use and this Privacy Policy.
- Cookies. Provider may collect this information using “cookies,” which are small text files that the System saves on your computer or mobile device, or similar technologies. You can disable cookies in your browser settings, but doing so may affect the functionality of the System.
- Web Beacons. Provider may also collect information using “web beacons,” which are clear electronic images that can recognize certain types of information on your computer, such as cookies, when you viewed a particular website tied to the web beacon, and a description of a website tied to the web beacon. Web beacons, alone or in conjunction with cookies, may help Provider compile information about your interactions with electronic mail sent to you in connection with the Services.
- Cross-Site Tracking. Provider does not utilize technical measures in the System to track your activities across different Web sites or online services, whether you configure your browser’s Do Not Track feature or otherwise. The System does utilize third-party application programming interfaces controlled by third parties, such as to display maps and graphs, that may attempt to track your activity across other sites that utilize those interfaces.
- Reviewing and Correcting Information. Personal Information about you that is stored by the System can be reviewed by accessing your account/profile page. You may update or correct Personal Information stored about you by means of the System, or by sending a written request to the contact addresses provided below.
- Use and Disclosure of Information.
- Purposes. Provider may use the information collected for a number of purposes, including, but not limited to:
- providing you with the Services, or products, services or information related to the System or the Services;
- providing you with information about the System, Services or required notices;
- customizing your experience when using the System, such as by providing interactive or personalized elements on the System and providing you with content based on your interests;
- allowing Provider to improve the System and the Services, such as by better tailoring content to users’ needs and preferences;
- generating and analyzing statistics about your use of the System, and use of the System in the aggregate;
- detecting, preventing and responding to fraud, intellectual property infringement, violations of the System’s Terms of Use, violations of law or other misuse of the System; and
- combining or aggregating any of the information collected through the System or elsewhere for any of these purposes.
- Marketing. In addition, Provider may use collected information for delivering marketing communications or investment materials that may be of interest to you. However, Provider does not sell or otherwise share your personally identifiable information with other companies so that they can market to you.
- Disclosure. Provider may disclose the information Provider collects from you through the System:
- as necessary to provide you with the Services, or products, services or information related to the System;
- to service providers who work on Provider’s behalf and have agreed to adhere to rules at least as strict as those set forth in this Privacy Policy;
- to your employees or agents acting on your behalf, if you authorize Provider to do so;
- as required by law, such as to comply with a subpoena or other legal process, or to comply with government reporting obligations;
- when Provider believes in good faith that disclosure is necessary (A) to protect Provider’s rights, the rights of other users of the System, the integrity of the System, or your safety or the safety of others, or (B) to detect, prevent or respond to fraud, intellectual property infringement, violations of the System’s Terms of Use, violations of law or other misuse of the System;
- to affiliates, service providers, advisors and other third parties to the extent reasonably necessary to proceed with the negotiation or completion of a merger, acquisition or sale of all or a portion of Provider’s assets;
- pursuant to your express consent; or
- in the form of aggregate reports on user demographics and traffic patterns, or other information that may or may not be derived from Personal Information but does not personally identify you, both for disclosure to third parties and for the purpose of enhancing the Services and developing new Service offerings.
- Purposes. Provider may use the information collected for a number of purposes, including, but not limited to:
- Storage.
- Jurisdiction. Information collected through the System will be stored in, processed in and subject to the laws of the United States, which may not provide the same level protection for your information as your home country, and may be available to the United States government or its agencies under a lawful order made in the United States. By using the System, you consent to such transfer to, storage in and processing within the United States.
- Security. Provider is committed to protecting your information from unauthorized access, use or disclosure. The system and its operators maintain administrative, technical and physical safeguards designed to protect the information collected through the System. For example, all information you transmit to the System is encrypted using Transport Layer Security technology (TLS). However, no information or communication system can be 100% secure, so Provider cannot guarantee the absolute security of your information. In addition, Provider is not responsible for the security of information that you transmit to the System over networks that Provider does not control, including the Internet and wireless networks.
- Third-Party Websites. The System and communications from Provider may contain links to websites operated by third parties. You acknowledge and agree that Provider is not responsible for the collection and use of your information by such websites that are not under Provider’s control. Provider encourages you to review the privacy policies of each website you visit.
- Children’s Information. The System is not directed to, nor does Provider knowingly collect information from, children under the age of 13. If you become aware that your child or any child under your care has provided information without your consent, please contact Provider immediately using the contact information provided below.
- Other Agreements. You may from time to time enter into binding legal agreements relating to certain Services available through the System, which may have terms that are different from those of this Privacy Policy. In the event of any inconsistency, the terms of such other agreement shall control with respect to such Services.
- Role of X Faktor Technologies.
Host and Operator. X Faktor Technologies, Inc., a Pennsylvania corporation (“X Faktor Technologies”) hosts and operates the System on behalf of Provider. As operator of the System, X Faktor Technologies has access to, stores and processes all Personal Information received and collected about you by means of the System, as well as information that Provider furnishes to X Faktor Technologies about you, for the purpose of hosting and operating the System and facilitating provision of products and services by Provider to you. X Faktor Technologies does not direct or control Provider’s use or storage of Personal Information about you. - Contact Information. By accessing or using this Site, you as the user (“you”) agree to be bound by the following terms and conditions (these “Terms”). Please read these Terms carefully before using this Site. These Terms are a legally binding agreement between you and Provider. - By Provider. If Provider has reason to suspect that you have breached these Terms, or that any of your Information is not authorized, correct, current and complete, Provider may, in addition to taking or reserving any other remedies against you, terminate your Account. Provider reserves the right to erase any or all of your Information from this Site, as well as to terminate your Account without notice or liability, at any time and for any or no reason in its sole and absolute discretion. Any suspension, termination or cancellation of your Account shall not affect provisions of these Terms, such as indemnification and limitations of liability, that are by their nature intended to survive such suspension, termination or cancellation.
- Prohibited Uses. You agree that:

- if you use this Site in your capacity as an employee, owner or otherwise as an agent of another person or entity, you agree on behalf of yourself and such person or entity, jointly and severally, to be bound by these Terms;

- Intellectual Property.
- Content of this Site. Provider or its licensors own all of the content that is made available in connection with this Site (the “Site Content”), including visual interfaces, interactive features, graphics, designs, databases and their data, computer code, products, software and all other elements and components of this Site. Provider or its licensors also own the copyrights, trademarks, service marks, trade names and other intellectual and proprietary rights throughout the world associated with this Site and the Site Content, which are protected by copyright, trade dress, patent, trademark and other applicable intellectual property rights and laws.
- Restrictions. By agreeing to these Terms, you acknowledge and consent to the use, sharing and disclosure of your personal information and data as described in such Provider Privacy Policy, as it may be amended from time to time. - Indemnification.
You agree to indemnify, defend and hold Provider, as well as Provider’s parents, subsidiaries, affiliates, any related companies, suppliers, licensors and partners, including the shareholders, officers, directors, employees, agents and representatives of each of them (collectively, the “Provider Parties”) harmless from any and all claims, liability, damages and costs (including, but not limited to, attorneys’ fees) arising out of or relating to:- your access to or use of this Site;
- your violation of these Terms, including without limitation your breach of any representation or warranty;
- your infringement, or the infringement of any third party using your Account, of any intellectual property or other right of any person or entity; or

Provider reserves the right to, but is not obligated to, assume the exclusive defense and control of any matter for which you are required to indemnify the Provider Parties, and you agree to cooperate with Provider’s defense of such claims. You agree not to settle any such matter without Provider’s prior written consent. Provider will use reasonable efforts to notify you of any such claim, action or proceeding when Provider becomes aware of it. Each of the Provider Parties is an express third-party beneficiary of this indemnification provision, with full rights to enforce its terms.
- Third Party Services.
This Site includes links to third-party products, services and websites, as well as materials provided by third parties (collectively, “Third-Party Content”). Neither these Terms nor this Site endorse or take responsibility for any Third-Party Content. You agree that the Provider Parties are not responsible for the availability or contents of Third-Party Content. You understand that the Provider Parties have no obligation to, and generally do not, approve or monitor materials provided by third parties through this Site. Your use of Third-Party Content is at your own risk. - Limitations of Liability.
- DISCLAIMER OF WARRANTIES. In no event will any of the officers, trustees, directors, partners, employees, consultants, beneficiaries, joint venturers, members, stockholders or other principals or representatives of Provider, ever be personally liable to you under, arising out of, or related to these Terms (including for direct or consequential damages), and you hereby waive the right to recover damages from any such persons.
- LIMITATION OF LIABILITY. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THESE TERMS, THE PROVIDER PARTIES’ MAXIMUM AGGREGATE CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). THE ABOVE LIMITATION WILL APPLY WHETHER AN ACTION IS IN CONTRACT, EQUITY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND REGARDLESS OF THE THEORY OF LIABILITY. If applicable law limits the application of the above limitation of liability, Provider’s liability will be limited to the maximum extent permitted by law.
- Role of Gateway Opportunity Fund.
Acknowledgment. You acknowledge that Gateway Opportunity Fund, LLC, a Delaware corporation (“Gateway Opportunity Fund”), hosts and operates this Site, and consent to the sharing of information about you with Gateway Opportunity Fund for storage and processing, in each case for the purpose of hosting this Site and facilitating provision of products and services by Provider to you. As the proprieter of this Site, Gateway Opportunity Fund owns all of the Site Content and related intellectual property, other than such Site Content that is proprietary or personal information of Provider or its users. You will be required to agree to Gateway Opportunity Fund’s Terms of Use as a condition to your Use of this Site. - Export Laws.
You acknowledge that technology utilized by this Site and any related products, information, documentation, software, technology, technical data, and any derivatives thereof, that Provider makes available through the Site (collectively “Excluded Data”), may be subject to export control laws and regulations of the United States and other jurisdictions (collectively “Export Laws”). You represent and warrant that: (i) you are not located in, under the control of, or a national or resident of an embargoed country or prohibited end user under Export Laws; and (ii) you will not access, download, use, export or re-export, directly or indirectly, the Excluded Data to any location, entity, government or person prohibited by export laws, without first complying with all Export Laws that may be imposed by the U.S. Government and any country or organization of nations within whose jurisdiction it operates or does business. You are solely responsible for complying with Export Laws for all Excluded Data and any of its content transmitted through the Site and Services. You shall advise Provider at oc.latta@gatewayopfund.com in the event the Excluded Data requires Provider to obtain additional licenses, permits and/or approvals from any government in the jurisdiction where you intend to use the Site or Services. Upon being advised of such a requirement, Provider may at its sole discretion: (a) terminate your Account; (b) obtain such licenses, permits, and/or approvals as may be required; or (c) modify these Terms such that additional licenses, permits, and/or approvals are no longer required to be obtained by Provider. - Confidentiality.
The information available on the Site relates to Provider, its affiliates and affiliated investment funds (collectively, the “Disclosing Parties”). This information is highly confidential. You hereby agree to maintain such information in strict confidence and acknowledge that such information is proprietary and confidential, that the Disclosing Parties and their affiliates derive independent economic value from such information not being generally known, and that such information is subject to reasonable efforts by the Disclosing Parties to maintain its secrecy. You hereby agree that information available on the Site constitutes trade secrets and that the disclosure of any such information will cause substantial and irreparable competitive harm, as well as financial and strategic damage, to the Disclosing Parties, their affiliates and/or the investment funds and opportunities managed by the Disclosing Parties or their affiliates (each a “Fund”). The reports available on the Site are for use by investors and potential investors or their authorized designees in such a Fund, and you hereby agree that this information shall only be used by you in connection with an evaluation or the monitoring of your investment in such Fund. In addition, you agree that any information on this Site shall not be disclosed to any other person or entity or reproduced in any manner (by print, by electronic means or otherwise) without the express written authorization of the applicable Disclosing Party; provided, that such information may be disclosed on a need-to-know basis to other employees of your organization and to your investment advisers (so long as (i) they are bound by an obligation to maintain the confidentiality of such information that is at least as protective as your obligations under these Terms and Conditions, and (ii) such other employees and investment advisers are not given your password to access this Site) or as explicitly required by applicable law. You agree to be responsible for the consequences of dissemination of any information from the Site by such employees and investment advisers. - Miscellaneous
- Governing Law. These Terms shall be governed by the laws of the State of Delaware, regardless of conflict of laws principles.
- Arbitration. Any dispute, controversy or claim arising out of or in connection with or relating to your use of this Site or these Terms, or any breach or alleged breach these Terms, shall be submitted to a single arbitrator and settled by binding arbitration pursuant to the Commercial Rules then in effect of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the City of Wilmington, County of New Castle, State of Delaware. Judgment upon the award may be entered in any court of competent jurisdiction. EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY DISPUTE ARISING OUT OF, UNDER OR IN CONNECTION WITH THESE TERMS.
- No Assignment. These Terms, and any rights or obligations under these Terms, are not assignable, transferable or sublicensable by you except with Provider’s prior written consent, but may be assigned or transferred by Provider without restriction. Any attempted assignment by you shall violate these Terms and be void.
- Beneficiaries. Nothing in these Terms is intended to, nor will be deemed to, confer rights or remedies upon any third party.
- Amendments; Waivers. Provider may modify these Terms as provided in Section 1(b) (Revision of these Terms). These Terms may not be modified, amended, terminated or waived, in whole or in part, by you except by a written instrument signed by Provider. Except as expressly set forth herein, any failure of a party to take action in response to any breach of these Terms by the other party shall not constitute a waiver of such breach or of performance required by the other party; and no waiver of any provision of these Terms shall constitute a waiver of any other provision (whether or not similar), nor shall such waiver constitute a continuing waiver unless expressly provided therein.
- Force Majeure. Neither party will be liable for, or be considered to be in breach of or default under these Terms on account of any delay or failure to perform as required by these Terms as a result of any cause or condition beyond such party’s reasonable control, so long as such party uses all commercially reasonable efforts to avoid or remove such causes of non-performance or delay.
- Notices. To send notices to Provider, or if you have any questions regarding these Terms, please contact Provider at oc.latta@gatewayopfund.com. Provider may provide you with notices, including notices of changes to these Terms, by electronic mail, regular mail or communications through this Site.
- Entire Agreement. These Terms contain the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous representations, promises, agreements and understandings, whether oral or written, between the parties concerning the subject matter hereof. You may from time to time enter into binding legal agreements relating to certain services available through the Site, which may have terms that are different from those of these Terms. In the event of any inconsistency, the terms of such other agreement shall control with respect to such services.
- Severability. If any provision of these Terms is deemed to be invalid or unenforceable, the remaining provisions of these Terms shall be valid and binding and of like effect as though such provision were not included.
